Hospice Tools LLC Terms and Conditions
A. Agreement
The Terms and Conditions constitute the entire agreement between Hospice Tools LLC, Inc. (“Hospice Tools LLC”) and you (the “Client” or “You”). You agree the In-AppFax to Email Service (“Service”) that Hospice Tools LLC provides to You is subject to the Terms and Conditions (“Terms”). Each time you check “I ACCEPT” or otherwise use the Site and Service you are agreeing that You have read, understood and agreed to be bound by these Terms. If you do not agree with these Terms, you will not be granted permission to log into this Site and/or utilize the Service.

You represent and warrant that you are at least 18 years of age. You attest that you possess the legal right and ability to agree to the Terms. If you are representing a corporation or other entity you represent that you have the authority to bind the corporation or other entity. You agree to be financially responsible for your use of Hospice Tools LLC Service (as well as for use of your account by others, including minors) and to comply with your responsibilities and obligations as stated in these Terms. You agree that all the information provided by You is true and correct in all respects and to promptly update such information if it changes.

B. Revisions
Hospice Tools LLC may revise the Terms at any time by posting revised Terms on the Hospice Tools LLC web site (“Site”) or by sending information regarding the revisions to the email address you provide to Hospice Tools LLC. You are responsible for regularly reviewing the Site to receive a revision of the Terms. You shall be deemed to have accepted the revisions by continued use of the Service after the revisions have been posted. The Terms may not be amended or revised by Client except in writing signed by Hospice Tools LLC.

C. Sign Up and Contact
You may sign up for the Service online. HospiceTools.com and follow the simple steps which include your name, address and other contact information. To sign up for the Service Hospice Tools LLC requires a current active contract, complete and accurate information included on the Account Set Up Form. You agree to notify Hospice Tools LLC promptly of any changes to this information as required to keep it current, complete and accurate. If you begin but do not complete the sign-up process for the Service, you authorize Hospice Tools LLC to contact you by phone, fax, email, text or mail to attempt to assist you with the sign-up process, to promote and discuss Hospice Tools LLC and its services or to answer any questions you may have with respect to the Service. You hereby authorize the Company and its affiliates to make such contact, even if you ultimately determine not to sign up.

D. Service Description and Cost
A description of the Service and the cost of the Service is set forth. You agree to pay all charges for your use of the Service. Hospice Tools LLC reserves the right to prospectively change prices or institute new charges for access to or use of the Service. The cost for the Service is not refundable. Any failure to pay the charges for Service is violation of the Terms and grounds for termination of your account by Hospice Tools LLC. You agree to pay all amounts due upon demand by Hospice Tools LLC. You agree that Hospice Tools LLC is authorized to charge your payment method without further authorization from you until you provide prior written notice that you have terminated this authorization or wish to change your designated credit card. Such notice will not affect charges submitted before Hospice Tools LLC reasonably could act on your notice. If you have any question regarding any charges that have been applied to your account, you must contact Hospice Tools LLC’ Client Service within thirty (30) days of the charge date. Failure to do so will waive your ability to dispute such charges. Failure to use your account will not be deemed a basis for refusing to pay any charges submitted by Hospice Tools LLC in accordance with the Terms. Any cost and expenses incurred by Hospice Tools LLC to enforce the Terms or collect any amounts due including attorney fees shall be payable by You to Hospice Tools LLC. Your card issuer’s agreement governs your use of your designated card with respect to the Hospice Tools LLC Service, and you must refer to such agreement (not the Terms) with respect to your rights and liabilities as a cardholder. Hospice Tools LLC may amend the cost, pricing, charges and other features of the Service at any time either by posting the amendments and changes on the Site, or by sending information regarding the amendments and changes to the email address you provided. You are responsible for regularly reviewing such amendments and changes including cost and pricing information. Continued use of the Service, or non-termination of your account after changes are either posted or emailed to you constitutes your acceptance of the Service as modified.

E. Storage and Search
Fax messages received will be stored and accessible in secure servers. Storage will cease thirty (30) days after the fax is received or immediately if the Service is terminated for any reason. Hospice Tools LLC may cease or modify storage of fax messages at any time. Hospice Tools LLC has no responsibility or liability for any failure or inability to store fax messages or for deleting fax messages. Hospice Tools LLC will not scan, perform optical character recognition or index the text of fax messages received. The fax messages may not be searchable. You further agree that any storage and retrieval of information is provided as a convenience to You only and Hospice Tools LLC has no responsibility or liability whatsoever for the storage, retrieval, deletion, loss, disclosure of, or failure to store, retrieve or protect any content, lists or other information and/or any other communications maintained, received or transmitted by use of the Service.

F. Ownership
All programs, services, processes, designs, software, technologies, trademarks, trade names, inventions and materials comprising the Service are wholly owned by Hospice Tools LLC and/or its licensors and service providers except where stated otherwise.

G. Hospice Tools LLC Numbers
You agree that you are not the owner of the Service or any fax or voice number (“Hospice Tools LLC Number”) assigned to you by Hospice Tools LLC. Ownership of any such Hospice Tools LLC Number is vested solely in Hospice Tools LLC. Hospice Tools LLC is the Client of record for all Hospice Tools LLC Numbers. Hospice Tools LLC may assign such number to you for your use during the time of this Agreement. You agree that you are not authorized to charge any Service provided to You or at your request to the Hospice Tools LLC Number assigned to you by Hospice Tools LLC and that you will not request or otherwise cause any third-party service provider to charge any of its services to such number. You are responsible for any such charges, and any such charges will give Hospice Tools LLC the right to immediately terminate your Hospice Tools LLC account without notice. You further agree that following the termination of your Hospice Tools LLC account for any reason, such Hospice Tools LLC Number may be re-assigned immediately (although there may be a transition period) to another Client, and you agree that Hospice Tools LLC will not be liable for damages (including consequential or other damages) arising out of any such re-assignment, and you therefore waive any claims with respect to any such re-assignment, whether based on contractual, civil wrongs, or other grounds, even if Hospice Tools LLC has been advised of the possibility of damages. You further agree that Hospice Tools LLC may from time to time need to change the Hospice Tools LLC Number assigned to you due to circumstances outside or within Hospice Tools LLC’s control. You agree that Hospice Tools LLC will not be liable for damages (including consequential or other damages) arising out of any such change in the Hospice Tools LLC Number assigned to you, and you hereby relinquish any claims with respect to any such change, whether based on contractual, civil wrongs, or other grounds, even if Hospice Tools LLC has been advised of the possibility of damages. Hospice Tools LLC’s rights to the Hospice Tools LLC Numbers include the right to “port” the Hospice Tools LLC Numbers.

H. Portable Numbers
Hospice Tools LLC is not a telephone company and is not under any legal obligation to permit you to port any Hospice Tools LLC Numbers. You agree not to transfer or attempt to transfer any Hospice Tools LLC Number assigned to you to any other telephone carrier or other person. If you violate this provision, you agree to immediately transfer back the Hospice Tools LLC Number to Hospice Tools LLC, pay Hospice Tools LLC for any costs and damages caused by such transfer and take all other actions as may be requested by Hospice Tools LLC. Notwithstanding the above, if you ported in any telephone number in connection with your use of the Service, you may port out the telephone number when you terminate your account: (1) by giving Hospice Tools LLC written notice within 30 days after your account is terminated that you intend to port out your telephone number; (2) your telephone carrier provides Hospice Tools LLC’s telephone carrier with a signed porting request; (3) you have paid for all of your charges for the Service; and (4) you pay Hospice Tools LLC its administrative fee of $200.00 to cover its costs of processing the transfer. You understand and agree that delays, technical problems and processing issues may occur during the porting out period and this may prevent your new carrier from porting your number to it. Hospice Tools LLC is not responsible or liable for any part of the process where your telephone number is ported.

I. Use of Service / Client Responsibilities
The Service is a passive medium for You to send and receive information. You acknowledge and agree that this service is subject to a current active contract and subject to contract and active BAA terms and conditions. You acknowledge and agree that Hospice Tools LLC does not send, create or provide any content, supply, sell or lease lists, or review or participate in any manner with You or in providing the Service. You are fully responsible for the use of the Service and the content of any information included in or transmitted by the Service. You agree to acquire and pay for all equipment and third-party services (such as but not limited to an email address and computer equipment) required for you to access and use the Service; maintain the security of your password and other confidential information relating to your account; and be responsible for all charges resulting from use of your account, including unauthorized use prior to your notifying Hospice Tools LLC of such use and taking steps to prevent its further occurrence. You may not sell, resell, rent or lease the use of the Service.

J. Privacy Policy
Hospice Tools LLC’s Privacy is at Hospice Tools LLC Privacy Policy. Hospice Tools LLC uses information, including personally identifiable information, in accordance with its Privacy Policy
